WSKG Charter

THE UNIVERSITY OF THE STATE OF NEW YORK
EDUCATION DEPARTMENT

ABSOLUTE CHARTER OF
SOUTHERN TIER EDUCATIONAL TELEVISION ASSOCIATION, INCORPORATED

THIS INSTRUMENT WITNESSETH That the Board of Regents for and on
behalf of the Education Department of the State of New York has
granted this absolute charter.

1. Incorporating Robert D. Agone, Kenneth A. Meyers, Sheldon E.
Guile, Hiram Goodrich, Glenn A. Slater, Howard R. Johnson and Martin
A. Helfer and their associates and successors as an educational corporation,
pursuant to the provisions of sections 216 and 236 of the
Education Law, under the corporate name of Southern Tier Educational
Television Association, Incorporated, to be located in the city of
Binghamton, county of Broome and State of New York.

2: The purposes for which the corporation is formed are:

a. To construct, own, lease, operate or maintain a noncommercial
educational television station and/or radio station or to
provide educational television programs and/or radio programs,
or to carry out any combination of such purposes, and to obtain
and hold appropriate authorizations and licenses from the State
and Federal authorities for constructing, owning, leasing,
operating and/or maintain such station;

b. To lease radio and/or educational television time and services;

c. To make or cause to be made, surveys of educational needs;

d. To promote, develop, sponsor and/or conduct workshops,
conferences and inservice training programs;

e. To promote, sponsor, encourage and/or conduct experimental
educational programs in cooperation with any recognized
educational institution or society;

f. To record and distribute programs to be broadcast and those
that have been broadcast;

g. To solicit and accept funds by gift or otherwise from schools
and colleges who may benefit from these educational broadcasts,
and from the State of New York or any educational corporation,
school district or municipality, and from any other persons;

h. To collect fees on a subscription basis for educational
television and/or radio programs and services and related
materials, and

i. To engage in research in educational communuications or
related fields which shall further the objectives of education.

3. The persons named as incorporators shall constitute the
first board of trustees. The board shall have power to adopt
bylaws, including therein provisions fixing the method of election and term of
office of trustees, and shall have power also, by vote of three-fourths
of all members of the board of trustees, to change the number of trustees, to be not
more than 25 nor less than 5.

4. All of the trustees of the corporation shall be subject to the
approval of the Board of Regents prior to their assuming office.

5. The corporation hereby created shall be a nonstock corporation
organized and operated exclusively for educational purposes and no
part of its earnings or net income shall inure to the benefit of any
individual, and no officer, member or employee of the corporation
shall receive or be entitled to receive any pecuniary profit
from the operations thereof except reasonable compensation for services.

6. The principal office of the corporation is to be located in the City of
Binghamton, county of Broome and State of New York.

7. There shall be reserved to the Board of Regents the right at any time
to amend this charter on its own motion and in its discretion, provide,
however, that 30 days' notice be given to the board of trustees of the
corporation of such proposed amendment and that a hearing be had thereon
before the Board of Regents or a committee thereof.

8. The bylaws of the corporation and each amendment thereof shall
be subject to the approval of the Boards of Regents.

9. The Commissioner of Education is designated as the representative of the
corporation upon whom process in any action or proceeding against it
may be served.

State of New York, do hereby certify that I have caused to
be compared the annexed copu of the action taken by the Board of
Regents of the University of the State of New York at a meeting
held on June 23, 1961, granting an absolute charter to Southern
Tier Educational Television Association, Incorporated, and the
annexed copy of the bylaws of the corporation, as approved by the
Board of Regents of the University of the State of New York, on
April 29, 1966, with the orifinal records on file in the State Education
Department, and that the same are true copies of the orifinal and of the whole thereof.

IN WITNESS WHEREOF, I James E. Allen, Jr., Commissioner of
Education of the State of New York, have hereunto set my hand
and affixed the seal of the University and the State Education
Department at the City of ALbany, New York, this 18th day of

Amendment to Charter
Southern Tier Education Television Association Incorporated

THIS INSTRUMENT WITNESSETH That the Regents of the University of
the State of New York have amended the charter of the Southern
Tier Educational Television Association, Incorporated, located
in the city of Binghamton, county of Broome, state of New York,
which was granted by the Board of Regents on June 23, 1961, by changing
the name of the corporation from Southern Tier Educational Television
Association, Incorporated, to
